FIXR Immersion:
Terms + Conditions
By purchasing the FIXR Immersion session ("Services"), you ("Client") agree to the following terms and conditions with Samantha MacKinnon ("Contractor").
1. SERVICE DESCRIPTION
Contractor agrees to provide Client with one (1) FIXR Immersion session, which includes:
One (1) 90-minute virtual strategic consulting session via Zoom
Pre-session Strategy Blueprint Workbook for Client completion
Comprehensive Strategy & Implementation Blueprint delivered within 2 business days of the session
Four (4) weeks of structured asynchronous support via Circle platform following the session
Session recording and transcript
Optional add-ons (if purchased):
Add-On A: Three (3) months of structured async support via Circle ($750 CAD)
Add-On B: Two (2) 45-minute pulse check calls in months 2 & 3 ($1200 CAD)
Add-ons can be purchased separately or together.
2. PAYMENT TERMS
Payment is due according to the payment plan selected at checkout:
Pay in Full: Full payment due at time of purchase
3-Month Payment Plan: Three equal monthly payments
6-Month Payment Plan: Six equal monthly payments
First payment is due at time of purchase; subsequent payments will be automatically charged according to the selected schedule
Failure to make scheduled payments may result in suspension of services and forfeiture of access to remaining sessions and support
All fees are in Canadian Dollars (CAD)
Payment confirms Client's acceptance of these Terms & Conditions
3. REFUND POLICY
All payments are non-refundable except in the following circumstances:
Contractor is unable to provide the Services due to extenuating circumstances (illness, emergency, force majeure)
In such cases, Contractor will provide as much advance notice as possible and Client will receive a full refund of payments made
Client-initiated cancellations for any reason (including change of mind, scheduling conflicts, or personal circumstances) are not eligible for refunds.
4. SCHEDULING & RESCHEDULING
Client must schedule their session within 30 days of purchase
Failure to schedule within 30 days may result in forfeiture of the session at Contractor's discretion
Sessions may be rescheduled once with at least 48 hours advance notice
Rescheduling requests with less than 48 hours notice may result in forfeiture of the session at Contractor's discretion
No-shows or failure to attend the scheduled session without prior notice will result in forfeiture of the session with no refund
Sessions are scheduled based on Contractor's availability (Monday-Thursday, Eastern Time)
5. CLIENT RESPONSIBILITIES
Client agrees to:
Schedule their session within 30 days of purchase
Complete the Strategy Blueprint Workbook at least 3 business days prior to the scheduled session date
Provide honest, complete information to enable Contractor to deliver effective strategic guidance
Attend the scheduled session on time and be prepared to actively participate
Respond to Contractor communications within reasonable timeframes
Use Circle async support appropriately and in accordance with provided guidelines
Failure to complete the Strategy Blueprint Workbook by the deadline may result in rescheduling or cancellation of the session at Contractor's discretion.
6. CONTRACTOR AVAILABILITY
Contractor operates Monday-Thursday, Eastern Time
Async support via Circle will receive responses within 2 business days (Monday-Thursday)
Contractor is not obligated to respond to communications outside of stated business hours
Contractor reserves the right to reasonable time off for holidays, illness, or personal circumstances with advance notice where possible
7. SERVICE LOCATION & DELIVERY
All services are provided virtually via Zoom (for live sessions) and Circle (for async support)
Client is responsible for having reliable internet access and appropriate technology to participate
Technical difficulties on Client's end do not constitute grounds for refund or additional sessions
8. SCOPE OF SERVICES
The FIXR Immersion provides strategic guidance and recommendations. Contractor will:
Analyze Client's business challenges and provide strategic recommendations
Deliver a Strategy & Implementation Blueprint with clear next steps and implementation guidance
Provide structured support via Circle during the async period
Contractor will not:
Implement solutions on Client's behalf (unless separately contracted)
Provide legal, financial, or tax advice
Guarantee specific business outcomes or revenue results
Provide unlimited or on-demand availability outside agreed scope
9. WORK PRODUCT & INTELLECTUAL PROPERTY
The Strategy & Implementation Blueprint and any custom deliverables created specifically for Client become Client's property upon full payment
Contractor retains ownership of all frameworks, methodologies, templates, and intellectual property used in delivering the Services (including the FIXR Framework)
Contractor reserves the right to use general concepts, insights, and anonymized case study information for future business purposes, marketing, or educational content
Client may not resell, redistribute, or claim ownership of Contractor's proprietary frameworks or materials
10. CONFIDENTIALITY
Contractor agrees to treat all Client business information as strictly confidential
Client information will not be shared with third parties except as required by law
Contractor may reference Client work in general terms (e.g., industry, type of challenge solved) without identifying details, unless Client provides explicit written permission for testimonial or case study use
Both parties agree not to disclose the terms of this agreement to third parties except as required by law or with mutual written consent
11. RELATIONSHIP OF PARTIES
Contractor is an independent contractor, not an employee or agent of Client
Contractor is responsible for their own taxes, insurance, and business expenses
This agreement does not create a partnership, joint venture, or employment relationship
12. LIABILITY & LIMITATIONS
Contractor provides strategic guidance and recommendations based on information provided by Client
Contractor is not liable for business results, revenue outcomes, or implementation success
Contractor's total liability under this agreement shall not exceed the total amount paid by Client for Services
Contractor is not liable for delays, interruptions, or inability to provide Services due to circumstances beyond Contractor's reasonable control (force majeure)
Client acknowledges that business success depends on many factors beyond strategic guidance alone
13. DISCLAIMER OF WARRANTIES
Services are provided "as is" without warranties of any kind, express or implied. Contractor makes no guarantees regarding specific business outcomes, revenue increases, or results from implementing recommended strategies.
14. INDEMNIFICATION
Client agrees to indemnify and hold harmless Contractor from any claims, damages, or expenses arising from:
Client's use or misuse of the strategic guidance provided
Client's implementation of recommended strategies
Client's business practices or operations
Any third-party claims related to Client's business
15. FORCE MAJEURE
Neither party shall be liable for delays or failure to perform obligations under this agreement due to circumstances beyond their reasonable control, including but not limited to:
Acts of God (natural disasters, severe weather)
Pandemics or public health emergencies
Governmental actions or regulations
Internet or technology infrastructure failures
Personal illness or family emergencies
In such cases, the affected party will provide notice as soon as reasonably possible.
16. DISPUTE RESOLUTION
This agreement shall be governed by the laws of the Province of Ontario, Canada
Any disputes shall be resolved through good-faith negotiation first
If negotiation fails, disputes shall be resolved through binding arbitration in Ontario, Canada, in accordance with the Arbitration Act, 1991 (Ontario)
Each party shall bear their own legal costs unless otherwise determined by the arbitrator.
17. SEVERABILITY
If any provision of these Terms & Conditions is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
18. ENTIRE AGREEMENT
These Terms & Conditions, along with any purchase confirmation and service description, constitute the entire agreement between Client and Contractor regarding the FIXR Immersion Services and supersede any prior agreements or understandings.
19. MODIFICATIONS
Contractor reserves the right to modify these Terms & Conditions at any time. Changes will apply to purchases made after the effective date of the modification. Clients who have already purchased Services will be governed by the terms in effect at the time of their purchase.
20. ACCEPTANCE
By completing the purchase of FIXR Immersion Services, Client acknowledges that they have read, understood, and agree to be bound by these Terms & Conditions.
